NRI Company Registration in Hyderabad: Can an NRI Incorporate a Company From Abroad?
Can an NRI incorporate a company in Hyderabad? Rules, resident director, FEMA route, documents and a remote setup roadmap for NRIs.

Meera lives in Toronto, her parents live in Kondapur, and she wants to launch a software services company back home. Her first question is the one most Hyderabad NRIs ask: do I have to move back to register it?

Can an NRI incorporate a company in Hyderabad?
Yes. The Companies Act, 2013 does not bar a non-resident from holding shares or serving as a director of a private company. A private company needs at least two directors and two members, and at least one director must have stayed in India for 182 days or more in the financial year (section 149(3)). The company is registered with the Registrar of Companies (ROC) for Telangana, based in Hyderabad, through the Ministry of Corporate Affairs (MCA) SPICe+ form.
A company incorporated in India is a tax resident of India, whoever owns it. That is the first thing to absorb: you may be a non-resident individual, but your company will file Indian returns, maintain Indian books and follow Indian company law.
Which structure suits an NRI: Pvt Ltd, LLP or OPC?
| Structure | NRI can set up? | Watch-out |
|---|---|---|
| Private limited company | Yes | Resident director needed; best for investors and growth. |
| LLP | Yes, in sectors open to foreign investment under the automatic route | At least one designated partner must be resident in India. |
| One Person Company (OPC) | Generally no | The OPC route is meant for resident Indian citizens (check the current rule for your situation). |
| Partnership or proprietorship | Only on a non-repatriation basis with specific limits | Foreign (repatriation) investment is not allowed in these. |
The FEMA question: repatriation or non-repatriation money?
Company law decides who can form the company. The Foreign Exchange Management Act, 1999 (FEMA) decides how your money goes in and whether it can come back out.
- Repatriation route: Funds come from abroad or from an NRE/FCNR account. This is foreign investment. Sale proceeds can be repatriated, and the company must report the share issue on Form FC-GPR through the RBI’s FIRMS portal within 30 days of allotment.
- Non-repatriation route: Funds come from your NRO account. The investment is treated like a resident’s, so sector caps and FC-GPR generally do not apply, but sale proceeds are credited to your NRO account and cannot be freely taken abroad.
Pick the route before incorporation. Switching later needs a separate reporting (Form FC-TRS) within 60 days. Investments in a Nidhi company, agriculture or plantation, real estate business and similar restricted activities are not permitted.
9 things an NRI must check before incorporating

- Resident director. Line up a trusted family member, co-founder or professional nominee who will actually stay 182 days in India. A foreign director does not satisfy the rule.
- FEMA route. Decide repatriation versus non-repatriation first, as above.
- Sector. Confirm your business is not in a prohibited or restricted activity.
- Banking channel. Subscription money must arrive through banking channels from the investor’s own account. Cash or a third-party payment creates reporting problems.
- Authenticated documents. Passport and address proof usually need notarisation, plus apostille for Hague Convention countries or consular attestation for others. Address proof is normally accepted if it is no more than two months old. Get each document set checked by country before you spend on notaries.
- DSC and DIN. A Class 3 Digital Signature Certificate (DSC) and a Director Identification Number (DIN) must be arranged remotely. Foreign applicants need a valid passport number, and verification can take days.
- Registered office. A family home in Hyderabad can serve, with the owner’s no-objection letter and a recent utility bill, subject to local rules. Complete registered-office verification (INC-22) within 30 days of incorporation.
- Demat and beneficial ownership. Subscribers’ shares must be dematerialised for companies incorporated from 1 July 2025, and significant beneficial owners must be declared.
- Day-30 and day-180 filings. Appoint the first auditor and hold the first board meeting within 30 days, and file INC-20A (declaration of commencement of business) within 180 days. See our guide to INC-20A filing in Hyderabad.
How NRI company registration in Hyderabad works, step by step
- Structure call: shareholding, capital, objects, resident director, FEMA route.
- KYC pack: authenticated passport, address proof and photographs; PAN where the person holds one.
- DSC and DIN for every director.
- Name approval through SPICe+ Part A. An approved name is held for a limited period, so file the rest promptly.
- SPICe+ filing with the electronic Memorandum and Articles (INC-33 and INC-34) and, through AGILE-PRO, PAN, TAN and other registrations.
- Certificate of Incorporation with the Corporate Identity Number (CIN).
- Bank account and share-capital inflow through the correct FEMA route, then allotment and FC-GPR if applicable.
- First compliance roadmap: auditor, board meeting, INC-22, INC-20A, GST and Shops and Establishment.
ComplianceKart’s own timeline for a standard private company is indicatively 7 to 15 days. Expect longer when documents need authentication abroad or the bank runs enhanced checks on a foreign shareholder.

Many Hyderabad NRIs keep strong family and professional ties around Kondapur, Gachibowli, Kokapet, Narsingi and Hitech City, which makes a local resident director, a registered-office address and a bank relationship easy to arrange. Founders targeting clients in Hitech City, Madhapur or the Financial District also benefit from being registered with the ROC Hyderabad. After incorporation, check the Telangana-specific steps in our guides on Shop and Establishment registration and trade licence in Hyderabad. Common NRI incorporation mistakes
- Making a relative a “resident director” who then lives abroad for most of the year.
- Sending subscription money from a third party or a non-NRI account.
- Missing the 30-day FC-GPR window after allotment.
- Submitting un-apostilled or expired documents and losing weeks to ROC resubmission.
- Choosing an OPC, then discovering the NRI cannot hold it.
- Forgetting INC-20A, which can block further filings and invite penalties.
Why work with ComplianceKart
ComplianceKart is a boutique practice bringing CAs, CSs and advocates under one roof. A multi-speciality hospital works the same way: you describe the problem once and the right specialists look at the same file. For an NRI company, the CS handles ROC and secretarial filings, the CA handles FEMA reporting and tax, and the advocate reviews agreements and shareholder terms. Everything runs online across time zones, with one coordinated checklist instead of three separate vendors. We do not guarantee registrations or approvals, which depend on the Registrar and the authorities.
NRI company incorporation in Hyderabad: frequently asked questions
Can an NRI be the sole director of an Indian private company?
No. A private company needs at least two directors, and at least one must be a resident director who stayed in India for 182 days or more in the financial year. An NRI can be one of the directors.
Can an NRI incorporate a company in Hyderabad without visiting India?
Generally yes. Name approval, SPICe+ filing, DSC and DIN are online, and document verification can be completed remotely. You will need authenticated KYC documents and a local registered-office address.
Is FC-GPR required when an NRI invests in an Indian company?
If the investment is made on a repatriation basis, it is foreign investment and Form FC-GPR is filed within 30 days of allotment. Investment from an NRO account on a non-repatriation basis is treated like a domestic investment and is generally not reported on FC-GPR.
Can an NRI open an OPC in India?
The OPC route is intended for resident Indian citizens, so an NRI should plan on a private limited company or a permitted LLP instead.
Can an NRI use a family home in Hyderabad as the registered office?
Usually yes, with the owner’s no-objection letter and a recent utility bill, provided local rules allow business use. Registered-office verification is filed within 30 days of incorporation.
Bottom line
An NRI can absolutely build a company in Hyderabad. Secure the resident director, choose the FEMA route before money moves, authenticate your documents, and calendar the day-30 and day-180 filings. This article is general information and not advice on your facts.
