Moving Office? Here’s What Your Company Must File Before the Movers Arrive

Moving your company from Himayatnagar to Kondapur, or out of Telangana? Board or special resolution, INC-22, RD approval and GST updates — explained.

Your team has outgrown the co-working desk. The new office in Gachibowli is signed, the furniture is ordered, and someone says, “We’ll update the address on MCA later.” That “later” is where penalties, returned notices and a mismatch with your GST registration begin.

The short answer: to change the registered office in Hyderabad, what you file depends on how far you move. Within the same city, town or village, a board resolution and Form INC-22 within 30 days are enough. Outside those local limits but within Telangana, you also need a special resolution of shareholders. Moving to another state needs Regional Director approval and an amendment to your Memorandum.

Which category is your move?

Your move Approval needed Forms Law
Within the same city, town or village Board resolution INC-22 within 30 days Section 12(4)
Outside local limits, same ROC (Telangana has one ROC, at Hyderabad) Board resolution + special resolution MGT-14 within 30 days of the resolution; INC-22 within 30 days of the change Section 12(5)
To another state (e.g., Hyderabad to Bengaluru) Board + special resolution altering the Memorandum + Regional Director approval MGT-14, INC-23, INC-28, INC-22 Section 13(4)

Because the Registrar of Companies at Hyderabad covers the whole of Telangana, a move from Hyderabad to, say, Warangal stays with the same ROC and does not need Regional Director approval.

The Hyderabad twist: is your move still “within local limits”?

Since February 2026, Hyderabad’s civic area has been split across three municipal corporations — GHMC, Cyberabad and Malkajgiri. Kondapur, Gachibowli and Madhapur now fall under the Cyberabad Municipal Corporation, while areas like Himayatnagar remain with GHMC.

The Act speaks of the “local limits of the city, town or village.” Whether a move from Himayatnagar to Kondapur still counts as “within local limits” is a matter of interpretation now that the two areas sit under different corporations. Safest course: pass a special resolution as well. It costs one extra filing (MGT-14) and removes the question entirely.

Step by step for a move within Telangana

  1. Board meeting: approve the new address (and call a general meeting if a special resolution is needed).
  2. Special resolution (if outside local limits): pass it at a general meeting and file MGT-14 within 30 days.
  3. File INC-22 within 30 days of the change, with proof of the new address: rent agreement or ownership proof, a recent utility bill, and the owner’s no-objection letter.
  4. Put up the new name board outside the office and update letterheads, invoices and the website — section 12 requires the registered office address on them.
  5. Update everything else (next section).

Don’t stop at MCA — the update checklist

  • GST: principal place of business is a core field; apply for amendment in Form GST REG-14 within 15 days of the change.
  • Shops & Establishment registration: notify the change within 15 days under the Telangana Shops and Establishments Act.
  • Trade licence: take a fresh licence (or transfer) for the new premises from the right municipal corporation.
  • Bank, PAN/TAN records, EPFO/ESIC, Udyam, import–export code, and every client contract that names your address.

CA in Kondapur & Gachibowli: why founders want a CA, CS and advocate under one roof

An office move is three jobs at once: company-law filings (CS), GST and tax registrations (CA), and a lease and NOC that must actually hold up (advocate). ComplianceKart is a boutique practice with CAs, CSs and advocates under one roof — like a multi-speciality hospital — based in Kondapur near Hitech City. We vet the lease, file INC-22 and MGT-14, and amend your GST registration in the same week.

FAQ

What is the time limit for filing INC-22 after changing the registered office? Within 30 days of the change.

Do I need shareholder approval to shift within Hyderabad? Within the same city’s local limits, a board resolution is enough. If the move is outside local limits, a special resolution is also required — and given the 2026 split of Hyderabad’s corporations, passing one is the safe course.

Do I need Regional Director approval to move from Hyderabad to another Telangana district? No. Telangana has a single ROC at Hyderabad, so a move within the state needs a special resolution and INC-22, not RD approval.

Do I need to amend my GST registration? Yes. A change in principal place of business must be applied for in REG-14 within 15 days.

Can my registered office be a co-working space? Yes, if you have a valid agreement, an address proof and the provider’s no-objection letter, and the company can receive communications there.
