A software vendor in Madhapur has chased a client for ₹8 lakh of unpaid invoices for five months. Emails go unanswered. A friend says, “send a legal notice.” Another says it will spoil the relationship. Both are partly right. A legal notice is a formal, written demand, usually issued through an advocate, that records the facts, states the claim and gives a deadline. It is not a lawsuit, but it often decides how the lawsuit goes.

Quick answerA legal notice is a formal pre-litigation demand. It is mandatory in a few situations, such as a cheque dishonour complaint under section 138 of the Negotiable Instruments Act, a suit against the Government under section 80 of the Code of Civil Procedure, or termination of a tenancy under section 106 of the Transfer of Property Act. In other disputes it is optional but strongly advisable because it fixes the record, shows good faith and may settle the matter. It does not stop limitation from running. Never ignore one you receive; reply within the time stated, or within 15 to 30 days if none is stated.

What a legal notice does

It does four things. It puts the claim on record with a date, so that later silence or denial can be tested against it. It gives the other side a last chance to pay or perform, which courts like to see. It fulfils a statutory pre-condition where the law requires one. And it signals seriousness, which resolves many disputes without a case. It does not create a right that did not exist, and it does not extend the limitation period for filing a suit.

When a notice is mandatory and when it is wise

SituationIs notice required?Basis
Cheque dishonouredYes; within 30 days of learning of dishonours.138(b), Negotiable Instruments Act, 1881
Suit against Government or a public officerYes; two months’ notices.80, Code of Civil Procedure, 1908
Termination of lease (monthly tenancy)Yes; notice period as the statute and lease provides.106, Transfer of Property Act, 1882 verify

Commercial dispute before suingPre-institution mediation is generally mandatory unless urgent relief is soughts.12A, Commercial Courts Act, 2015 verify
Unpaid invoices, breach of contract, property disputeNot mandatory; advisableContract terms may require notice or cure period
Defamation, infringement, harassmentNot mandatory; commonOften a first step before an injunction

The cheque bounce timeline (section 138)

  1. Present the cheque within its validity (three months from the date on it).
  2. Bank returns it unpaid and issues a return memo.
  3. Send the demand notice within 30 days of receiving the memo.
  4. The drawer has 15 days from receiving the notice to pay.
  5. File the complaint within one month after that 15-day period ends. Delay needs a condonation application.

Each step is a ground for dismissal if missed. The notice must demand the cheque amount, and a demand for extra sums can be attacked verify. Keep proof of dispatch and delivery.

What a good legal notice contains

  • Names and addresses of the sender and recipient, and the advocate’s details.
  • A numbered, dated chronology of facts, with reference to the contract, invoice or cheque.
  • The legal basis and the specific demand: payment, performance, cessation or return of property.
  • A clear time limit (usually 15 days) and the consequence of default.
  • A reservation of rights and a request to preserve records.

Send by registered post with acknowledgement and by email, retaining the tracking record and a certificate for electronic evidence under the Bharatiya Sakshya Adhiniyam, 2023 verify. Avoid threats outside the law, such as police complaints used as leverage, which can backfire.

If you receive a legal notice

  1. Do not ignore it. Silence can be read against you, and in a section 138 case it leaves the 15-day window to lapse.
  2. Note the date of receipt and the deadline.
  3. Collect documents: contract, invoices, correspondence, proof of delivery or payment.
  4. Reply through an advocate, factually, denying what is untrue and admitting only what you must.
  5. Consider settlement or mediation if the claim has merit.

Legal notice vs GST or tax notice

A notice from the GST or income-tax department is a statutory proceeding with its own limitation, hearing and appeal rules, not a legal notice in this sense. For those, see our guides on ASMT-10 and DRC-01 replies and GST notice and litigation support.

57th GST Council (8 Oct 2026): GST noticesThe Council has recommended a minimum tax of ₹10,000 for show cause notices under ss.73, 74 and 74A, a validation clause for notices covering several years, and a personal hearing before credit is blocked under Rule 86A. Neither the legal notice rules above nor these GST proposals are affected until the law is amended. These are recommendations; they need amendments and notifications before they bind anyone. Until then, current law applies.

Common mistakes

  1. Sending a notice after limitation has run. A notice never revives a time-barred claim.
  2. Claiming more than is due. An inflated demand weakens the notice, and in section 138 can invalidate it.
  3. Poor service. No proof of dispatch means no proof of notice.
  4. Copying a template. Contract terms, arbitration clauses and jurisdiction clauses need to be reflected.
  5. Rushing a reply. A careless admission may be used later.

Why work with ComplianceKart

We help prepare, vet and respond to notices and take matters forward where required. We cannot predict the outcome of any dispute.

Frequently asked questions

What is a legal notice?

A formal written communication, usually sent through an advocate, that sets out a claim, makes a demand and gives time to comply before proceedings are started.

Is a legal notice compulsory before filing a case?

Not generally. It is mandatory in specific situations such as a cheque dishonour complaint under section 138 NI Act, a suit against the Government under section 80 CPC, and some tenancy terminations.

How long do I have to reply to a legal notice?

The notice usually states 15 to 30 days. A statutory notice has a statutory period: 15 days for payment after a section 138 notice and 10 days to reply to a section 8 IBC demand notice.

Can I send a legal notice myself?

Yes, but one issued through an advocate is more credible, and a defective notice can harm a statutory claim. Statutory notices should be drafted with care.

Does a legal notice extend limitation?

No. Limitation is governed by the Limitation Act, 1963 and the specific statute. Send the notice early and file within time.

Can a legal notice be sent by email or WhatsApp?

It can supplement but should not replace registered post. Preserve the electronic record with the required certificate for evidence.
