Closing an HUF: Partition, Karta Succession and Tax Traps Most Families Miss

HUF partition under Section 171, death of the Karta, daughters as Karta and tax on partition. HUF Series Part 5 by ComplianceKart.

HUF Series: Part 1 – What is an HUF · Part 2 – Forming an HUF · Part 3 – Tax benefits · Part 4 – Gifts & clubbing · Part 5 – Partition & closure

An HUF is easy to start and surprisingly hard to end. Families often assume that if the Karta passes away or siblings move to different cities, the HUF simply dissolves. For income tax, it does not — until a partition is properly recognised.

The short answer: an HUF assessed to tax continues to be assessed as an HUF until a total partition is claimed and recorded by the Assessing Officer under Section 171. Partial partitions made after 31 December 1978 are not recognised for income tax. When the Karta dies, the HUF does not end — the next eligible coparcener becomes Karta.

Three events, three outcomes

Event What happens to the HUF Action needed
Death of the Karta Continues; senior-most coparcener (son or daughter) usually becomes Karta Update PAN records, bank mandates and deed
Partial partition (some assets or members only) Not recognised for income tax; HUF continues to be assessed on all income Avoid; plan a total partition if separation is intended
Total partition HUF ceases to be assessed once the order recording partition is made Partition deed, actual division of assets, claim before the Assessing Officer

Who can be Karta now?

Since daughters became coparceners by birth (Hindu Succession (Amendment) Act, 2005, affirmed in Vineeta Sharma v. Rakesh Sharma, 2020), courts have recognised that a daughter who is the senior-most coparcener can act as Karta. A wife is a member but not a coparcener, and her role as Karta remains a debated area — get advice before relying on it.

Total partition: the steps

  1. Agree on shares among coparceners, as per Hindu law.
  2. Execute a partition deed describing each asset and who receives it. Stamp duty and registration depend on the asset and state law (confirm for Telangana).
  3. Actually divide the assets — transfer property titles, bank balances and investments.
  4. Claim partition before the Assessing Officer, who enquires and records a finding with the date and shares.
  5. File the final return of the HUF and close the HUF’s bank account once the order is in place.

Tax on partition

  • Distribution of assets on total partition is not treated as a transfer for capital gains purposes.
  • When a member later sells an asset received on partition, the HUF’s cost and holding period generally carry over.
  • Income from the asset after partition is taxed in the hands of the member who received it.

Traps that cost families

  • Dividing a flat informally and continuing to file nil or partial HUF returns.
  • Assuming the Karta’s death closes the HUF and stopping its return filing.
  • Selling HUF property without documenting the Karta’s authority and members’ consent.

Why work with ComplianceKart

ComplianceKart is a boutique practice bringing CAs, CSs and advocates under one roof. Like a multi-speciality hospital, partition needs both the legal team for the deed and title transfers, and the tax team for the claim before the department — coordinated on one file.
