Registrations for New Company in Hyderabad: What SPICe+ Covers and What It Doesn’t

Incorporated in Hyderabad? See which registrations SPICe+ gives automatically and which you must still take: Professional Tax, Shops & Establishments, GST.

Last reviewed: 24 October 2026

Your Certificate of Incorporation has just landed in your inbox. The company has a CIN, a PAN and a TAN. It is tempting to believe the paperwork is over. It is not. The incorporation form registers your company; it does not register your business with Telangana, with GHMC or, in many cases, with GST.

Short answer: The registrations for a new company in Hyderabad fall into three groups. When you incorporate a company in Hyderabad, SPICe+ gives you PAN, TAN, DIN, EPFO and ESIC registration and a bank account automatically. You must then separately obtain the Telangana-level registrations: Professional Tax enrolment and registration, Shops & Establishments registration within 30 days of opening, and a GHMC trade licence where your activity requires it. GST, Udyam, DPIIT, IEC and FSSAI depend on what you sell and how.

This guide sorts every registration into three buckets, so you know exactly what is done, what is due and what depends on your business.

Bucket 1: Registrations you get automatically with SPICe+

The Ministry of Corporate Affairs’ integrated form, SPICe+ (with its linked AGILE-PRO-S web form), bundles several registrations into incorporation. According to the MCA’s ease-of-doing-business page, a single application delivers:

Registration Issued by What it means for you
Certificate of Incorporation and CIN Registrar of Companies Your company legally exists.
Director Identification Number (DIN) MCA Allotted to proposed directors who do not already hold one.
PAN and TAN Income Tax Department PAN for the company’s own taxes; TAN to deduct and deposit TDS on salaries, rent and professional fees.
EPFO and ESIC registration EPFO / ESIC Establishment codes are allotted upfront. Contribution obligations apply as your headcount and wages fall within coverage.
Company bank account Bank chosen in AGILE-PRO-S Opened through the linked web form.
GSTIN (optional) GST authorities Only if you opt for it in AGILE-PRO-S.

The catch for Hyderabad founders: SPICe+ issues Professional Tax registration only for Maharashtra and Karnataka (the MCA page also lists West Bengal), and Shops & Establishments registration only for companies incorporated in Delhi. A Telangana company gets neither through SPICe+. That is Bucket 2.

Bucket 2: Telangana and Hyderabad registrations you must apply for separately

1. Professional Tax: enrolment and registration

Telangana levies Professional Tax under the Telangana Tax on Professions, Trades, Callings and Employments Act, 1987. The Act creates two separate certificates, and a new company usually needs both:

  • Enrolment Certificate (Section 6(2)) for the company’s own liability. Entry 20 of the First Schedule levies ₹2,500 per year on companies registered under the Companies Act.
  • Registration Certificate (Section 6(1)) as an employer, so the company can deduct Professional Tax from salaries (including directors’ remuneration) and deposit it.

Monthly salary slabs currently stand at nil up to ₹15,000, ₹150 for ₹15,001–₹20,000 and ₹200 above ₹20,000. Confirm the current slabs and payment due date on the Telangana Commercial Taxes portal before your first payroll.

2. Shops & Establishments registration

Under the Telangana Shops and Establishments Act, 1988, an establishment must apply for registration within 30 days of commencing work. This includes an office of a private limited company. The application is filed online with the Telangana Labour Department. The fee depends on the number of employees.

Two points founders often miss:

  • Each location needs its own registration. An office in Kondapur and a second one in Madhapur are two establishments.
  • The certificate links to the premises. Moving office means updating it.

3. GHMC trade licence

The Greater Hyderabad Municipal Corporation issues trade licences to run listed trades within its limits. The application is online at ghmc.gov.in. For a company, the core documents are the PAN or Certificate of Incorporation and proof of premises such as a lease deed. A licence number is generated on payment.

Whether your specific activity is a “listed trade” depends on what you do at the premises. Retail, food, manufacturing and many commercial uses are typically covered. Check before signing your lease, not after. More on this: trade licence in Hyderabad.

Bucket 3: Registrations that depend on your business

Registration When you need it Practical note
GST registration When aggregate turnover crosses the Telangana threshold, or immediately in compulsory cases under Section 24 of the CGST Act (for example, inter-State supply of goods or selling goods through e-commerce operators). Telangana applies a ₹20 lakh threshold for both goods and services (confirm against current notifications). B2B clients often insist on a GSTIN anyway.
Udyam (MSME) registration Optional, but useful for delayed-payment protection and MSME-linked schemes. Free on the official Udyam portal.
DPIIT Startup India recognition If you are an eligible startup seeking Startup India benefits. A gateway to the Section 80-IAC tax holiday application and other incentives.
Import Export Code (IEC) Before importing or exporting goods. Issued by DGFT against the company’s PAN.
FSSAI licence or registration Any food business: cloud kitchens, cafés, packaged food, food trading. Registration or a State or Central licence, depending on scale.
Letter of Undertaking (LUT) Exporting services without paying IGST. Filed on the GST portal each financial year.

New: faster GST registration for small suppliers. Rule 14A of the CGST Rules now offers a simplified registration. If you self-assess that your output tax on supplies to registered persons will not exceed ₹2.5 lakh a month, registration is granted electronically within three working days of ARN generation, subject to Aadhaar authentication. Only one such registration is allowed per PAN in a State. The scheme is described in the GST Council newsletter, November 2025.

Don’t confuse registrations with your first MCA filings

Registrations are not the only thing on the clock. Under the Companies Act, 2013, a new company must also:

  1. Appoint the first auditor within 30 days of incorporation (Section 139(6)).
  2. Hold the first board meeting within 30 days of incorporation (Section 173).
  3. File Form INC-20A within 180 days after subscribers have paid for their shares into the company’s bank account. Without it, the company cannot commence business or exercise borrowing powers. Default attracts a ₹50,000 penalty on the company, plus ₹1,000 per day on each officer in default, up to ₹1 lakh. Guide: INC-20A filing.

For the full 90-day timeline, see our post-incorporation compliance checklist.

A worked example: a SaaS startup in Hitech City

Illustrative scenario, not a client matter. Three founders incorporate a private limited company and lease a 12-seat office near Hitech City. They will sell software subscriptions to Indian businesses and to clients abroad.

  • Automatic via SPICe+: PAN, TAN, EPFO, ESIC and the bank account.
  • Within 30 days of opening the office: Shops & Establishments registration.
  • Before first payroll: Professional Tax registration (as employer) and enrolment (for the company’s ₹2,500 annual levy).
  • GST: Indian business clients will want tax invoices, so they register early rather than waiting for the threshold. They also file an LUT for export invoices.
  • Optional but valuable: Udyam registration and DPIIT recognition.
  • Not needed: IEC (no goods are imported or exported) and FSSAI (no food business).

Common mistakes we see

  • Assuming SPICe+ covered Professional Tax. It does not, for Telangana.
  • Signing a lease without checking the premises. Trade licence and Shops & Establishments registration both depend on it.
  • Running payroll before Professional Tax registration. Deductions then have nowhere to go.
  • Treating the EPFO/ESIC codes as “nothing to do.” The codes exist from day one; review contribution obligations as soon as you hire.
  • Skipping INC-20A. It quietly blocks the company from legally commencing business.

Frequently asked questions

Does SPICe+ give my Hyderabad company Professional Tax registration?

No. SPICe+ issues Professional Tax registration only for specified States, and Telangana is not one of them. A Hyderabad company must enrol and register separately under the Telangana Professional Tax Act.

Is GST registration compulsory immediately after incorporation?

Not always. GST becomes mandatory when turnover crosses the applicable threshold or when a compulsory-registration situation under Section 24 applies, such as inter-State supply of goods. Many B2B companies still register early because their clients expect a GSTIN.

Within how many days must I obtain Shops & Establishments registration in Telangana?

Within 30 days of commencing work at the establishment, under the Telangana Shops and Establishments Act, 1988. Each separate location needs its own registration.

How much Professional Tax does a company pay in Telangana?

A company registered under the Companies Act pays ₹2,500 per year on its own enrolment. It also deducts Professional Tax from eligible employees’ salaries as per the monthly slabs.

Does every company in Hyderabad need a GHMC trade licence?

It depends on the activity carried on at the premises within GHMC limits. Retail, food and many commercial trades need one. Confirm your activity’s classification before leasing.

Is Udyam registration mandatory for a new company?

No. It is voluntary, free and often useful, especially for protection against delayed payments from buyers and access to MSME schemes.
