Setting Up a Global Capability Centre (GCC) in Hyderabad: The 2026 Compliance & Entry Roadmap

Setting up a GCC in Hyderabad: this ComplianceKart guide explains the compliance roadmap for a GCC in Hyderabad – entity setup, tax and transfer pricing, FEMA, payroll and the approvals founders in Hyderabad most often get wrong.

Setting Up GCC in Hyderabad - ComplianceKart chartered accountant services

Hyderabad is in the middle of a fresh wave of Global Capability Centres (GCCs). Multinationals are opening captive technology, finance, analytics and R&D centres across HITEC City, Madhapur, Gachibowli, the Financial District, Nanakramguda and Kokapet — drawn by talent, cost efficiency and Telangana’s business ecosystem. But a GCC is not just an office lease and a hiring plan. It is an Indian legal entity with its own tax, FEMA, transfer-pricing and payroll obligations from day one. This is the practical GCC setup in Hyderabad roadmap, written from the perspective of a chartered accountancy firm that supports foreign parents entering India.

What is a GCC — and why the structure matters

A Global Capability Centre is an offshore unit owned by a foreign parent that performs work for the group — software development, product engineering, finance and accounting, data and analytics, customer support or shared services. Because a GCC works captively for its own group (not for third-party clients), its India tax position is dominated by transfer pricing: the price at which it bills the parent must be at arm’s length. Getting the entity and pricing model right at setup avoids expensive disputes later.

Step 1: Choose the entity — usually a wholly-owned subsidiary

Most GCCs are set up as a Private Limited Company that is a wholly-owned subsidiary (WOS) of the foreign parent. It offers limited liability, a clear corporate identity, and is the structure investors, banks and auditors expect. An LLP is possible but less common for captives because of foreign-investment and repatriation nuances. A liaison/branch/project office is rarely suitable for a full-fledged capability centre.

Step 2: Foreign investment — FDI and FEMA

For IT, ITeS and most business-services activities, 100% foreign direct investment is permitted under the automatic route (no prior government approval), subject to sectoral conditions. What must be done correctly is the FEMA reporting: filing the FC-GPR with the RBI (through the AD bank) on allotment of shares to the parent, at a price supported by a valuation. Errors or delays in FEMA filings are a common and avoidable compliance gap for new subsidiaries.

Step 3: Incorporate and obtain core registrations

Incorporation runs through the MCA’s SPICe+ process, which also allots PAN, TAN, and can bundle other registrations. A new Hyderabad GCC typically needs:

  • Certificate of Incorporation, PAN and TAN
  • GST registration (services to the overseas parent are typically export of services / zero-rated, subject to conditions)
  • Telangana Shops & Establishments registration and Professional Tax registration
  • PF and ESI registration once employee thresholds are crossed
  • Import Export Code (IEC) where relevant, and STPI or SEZ registration to access export benefits

For post-incorporation timelines (commencement declaration, first auditor, share certificates), see our post-incorporation compliance checklist.

Step 4: Get the transfer-pricing model right

A captive GCC is usually remunerated on a cost-plus mark-up basis — the parent reimburses the India entity’s costs plus an arm’s-length margin. This model must be documented and defended:

  • An inter-company services agreement that reflects the actual functions, assets and risks of the India centre
  • Annual transfer-pricing documentation and an accountant’s report in Form 3CEB
  • A benchmarking study supporting the mark-up

Transfer pricing is the single biggest litigation area for GCCs in India. Establishing a defensible margin and clean documentation from year one is far cheaper than contesting an adjustment later.

Step 5: Payroll, withholding and ongoing compliance

Once staff are hired in HITEC City or Gachibowli, the GCC must run compliant payroll — TDS on salaries, PF, ESI, Professional Tax — and meet monthly and annual filings. Add corporate tax returns, GST returns and refund claims (for zero-rated exports), ROC annual filings, and statutory audit. A GCC that treats compliance as a calendar, not a scramble, scales smoothly.

Step 6: Manage Permanent Establishment (PE) risk for the parent

How the parent and the India centre interact can create a Permanent Establishment exposure for the foreign company in India, which brings additional tax. Clear contracts, appropriate functions in India, and disciplined governance reduce this risk. This is a point worth structuring deliberately with professional advice at setup.

Why Hyderabad — and why local advice helps

Hyderabad’s concentration of engineering talent, established IT infrastructure in HITEC City, Madhapur, Nanakramguda and the Financial District, and Telangana’s single-window facilitation make it a leading GCC destination. A local chartered accountancy firm helps a foreign parent move from decision to operational entity — entity choice, FEMA filings, registrations, transfer-pricing design and payroll — without missteps.

Frequently Asked Questions

What is the best entity structure for a GCC in Hyderabad?

Most GCCs are set up as a Private Limited Company that is a wholly-owned subsidiary of the foreign parent, because it offers limited liability, a credible corporate identity, and straightforward foreign investment and repatriation.

Can a foreign company own 100% of a GCC in India?

For IT, ITeS and most business-services activities, 100% FDI is permitted under the automatic route, subject to sectoral conditions and correct FEMA reporting (such as FC-GPR filing with the RBI through the AD bank).

Do GCC services to the parent attract GST?

Services provided by an Indian GCC to its overseas parent are generally treated as export of services and zero-rated, subject to conditions such as receipt of payment in convertible foreign exchange and the two not being mere establishments of the same person. Professional review of the specific facts is recommended.

What is transfer pricing and why does it matter for a GCC?

Because a captive GCC works for its own group, the price it charges the parent must be at arm’s length. This requires a defensible mark-up, an inter-company agreement, benchmarking and an annual Form 3CEB. It is the biggest tax-litigation area for GCCs.

How long does it take to set up a GCC in Hyderabad?

Incorporation itself typically takes about 1–3 weeks with documents in order, but a fully operational GCC — registrations, banking, FEMA filings, payroll and transfer-pricing setup — is best planned over a few weeks with professional support.
