FEMA Compliance and NRI Services in Hyderabad

Cross-border rules are strict and penalties are real. We help Indian companies with foreign investment and overseas investment filings, and help NRIs with property sale, repatriation and Indian tax compliance.

Who needs this

  • Indian companies receiving foreign investment or issuing shares to non-residents.
  • Startups setting up a subsidiary abroad.
  • NRIs selling property in India or repatriating funds.
  • Companies with foreign liabilities, loans or assets to report.

What we do

  • Reporting of foreign investment received, such as Form FC-GPR for issue of shares and FC-TRS for transfers.
  • Overseas direct investment structuring and annual performance reporting.
  • Annual return on Foreign Liabilities and Assets (FLA).
  • NRI property sale: TDS planning, lower deduction certificate, Form 15CA and 15CB, and repatriation from the NRO account.
  • Compounding applications for past FEMA contraventions.
  • Advice on the right entry route before money moves.

Documents and details we usually need

  • Company incorporation records and share capital details.
  • Valuation reports and inward remittance proofs (FIRC/KYC).
  • Bank statements and authorised dealer bank correspondence.
  • For NRIs: passport, PAN, property papers and bank details.

Legal framework

  • Foreign Exchange Management Act, 1999.
  • Overseas Investment Rules and Regulations, 2022 for outbound investment.
  • Non-debt instruments rules for foreign investment into India.
  • Contraventions can be regularised through compounding under Section 13 of FEMA.
  • TDS on payments to non-residents under the income tax law.

Frequently asked questions

What is the time limit to report issue of shares to a foreign investor?

The reporting is generally due within 30 days of allotment of shares. Late reporting needs a late submission fee, so tell us at the time of the inward remittance.

Can an NRI repatriate sale proceeds of property?

Yes, within the limits and conditions under FEMA and with the required certificates and tax payments. We prepare the documents.

Can I invest abroad from my Indian startup?

Outbound investment needs compliance with the overseas investment rules. We check eligibility and structure before the transfer.
