Foreign Founders and NRIs Starting a Company in Hyderabad: Rules, Documents and Compliance

A guide for NRIs and foreign founders setting up a company in Hyderabad: eligibility, resident director rule, documents, FDI routes and FEMA reporting.

NRIs and Foreign Founders Starting a Company in Hyderabad - startup guide by ComplianceKart

A Hyderabad-born engineer living in the US wants to start a product company in India, or a founder from Singapore wants an Indian subsidiary near Hitech City. Both ask the same thing: can we do this, and what is different for us? Here is the practical answer.

Short answer: NRIs and foreign nationals can incorporate and hold shares in an Indian company, subject to the Foreign Direct Investment (FDI) policy and FEMA rules. Most sectors allow investment under the automatic route, but some require government approval and a few are prohibited. At least one director must be resident in India.

Which structure should you choose?

  • Private Limited Company: the most common route and suitable for investors. Foreign shareholders and directors are permitted.
  • Wholly owned subsidiary of a foreign company: allowed in sectors open to 100 per cent FDI. A nominee shareholder is typically used to meet the minimum two-member requirement.
  • LLP: permitted for foreign investment only in sectors where 100 per cent FDI is allowed under the automatic route and without FDI-linked performance conditions (confirm).

See Private Limited vs LLP to compare.

Key legal rules

  • Section 149(3) of the Companies Act, 2013 requires at least one director who has stayed in India for 182 days or more in the previous year.
  • Foreign directors need a DIN, which can be applied for through the SPICe+ process for the initial directors, supported by passport and address proof.
  • FDI is regulated by the FEMA (Non-Debt Instruments) Rules, 2019 and the consolidated FDI policy of DPIIT. Check whether your sector is on the automatic route, the government route or prohibited.
  • Funds must come through normal banking channels, and shares must be allotted within the prescribed time of receipt (confirm).

For Documents
Foreign or NRI director and shareholder Passport; overseas address proof; a second identity or utility proof; photograph; notarised and apostilled or consularised as required
Corporate foreign shareholder Certificate of incorporation, constitutional documents, board resolution and authorised signatory proof, with apostille or equivalent

Post-incorporation compliance

  • Report the foreign investment to the RBI via the authorised dealer bank and the prescribed portal within the time limit (confirm form and timeline).
  • File the annual return on Foreign Liabilities and Assets (FLA) with the RBI, usually by 15 July (confirm).
  • Follow ROC annual filings: see annual ROC compliance.
  • Maintain transfer pricing documentation for transactions with associated enterprises abroad.
  • Register for GST and other licences: see GST registration for startups.

Common mistakes

  • Not appointing a resident director before incorporation.
  • Delay in allotting shares after receiving funds.
  • Missing FEMA reporting, which can attract compounding.
  • Using unattested foreign documents that the MCA rejects.

For founders in Hitech City, Gachibowli and Financial District

Overseas founders often choose a Hyderabad registered office near Hitech City, Gachibowli or the Financial District for proximity to clients, talent and investors. Whichever location you choose, ensure the utility bill and owner NOC match the declared premises.

Why work with ComplianceKart

ComplianceKart is a boutique practice bringing Chartered Accountants, Company Secretaries and advocates under one roof. Think of a multi-speciality hospital: you walk in with one concern, and the physician, the radiologist and the surgeon coordinate on your case instead of you running between three clinics. Cross-border company setup works the same way, because it touches company law, tax, banking and contracts at once, and a single coordinated team keeps those pieces consistent.

We do not guarantee approvals or timelines, since those depend on the regulator and on your documents. What we can do is prepare the filings carefully, tell you what is likely to be queried and keep you informed at each step.
