What a Private Limited registration in Hyderabad actually involves — the documents, the government fees, the realistic timeline, and the five things founders get wrong.

Who should register a Private Limited Company?

A Private Limited Company suits you if any of these are true:

  • You plan to raise money from angels or VCs. Investors almost never fund an LLP or a proprietorship.
  • You want to issue ESOPs to employees.
  • You need a structure that banks, enterprise clients and government tenders recognise immediately.
  • You want your personal assets protected from business liabilities.

Documents you will need

For every director and shareholder

  • PAN card (mandatory for Indian nationals)
  • Aadhaar card
  • Passport-size photograph
  • Address proof — bank statement, electricity bill, mobile bill or gas bill, not older than two months
  • Email address and mobile number linked to Aadhaar (for OTP-based verification)

For the registered office in Hyderabad

  • Latest electricity bill or property tax receipt for the premises
  • Rent agreement, if the premises are rented
  • No Objection Certificate from the owner

A residential address in Hyderabad is perfectly acceptable as a registered office. You do not need commercial premises to incorporate.

The actual steps

  1. Digital Signature Certificates (DSC). Every proposed director needs one. Video KYC, usually done the same day.
  2. Name reservation. Filed through SPICe+ Part A or RUN. The MCA checks your proposed name against existing companies and registered trademarks. This is the step that most often comes back with a rejection.
  3. SPICe+ Part B. The single form that handles incorporation, DIN allotment, PAN, TAN, EPFO, ESIC, professional tax and the bank account opening request together.
  4. MOA and AOA. Filed electronically as eMOA and eAOA, signed with the directors’ DSCs.
  5. Certificate of Incorporation. Issued by the Registrar of Companies, Hyderabad, with your CIN, PAN and TAN.

Anyone promising a guaranteed three-day incorporation is describing the best case, not the normal one. Name approval and MCA scrutiny are government-controlled, and a single query from the Registrar adds days.

What it costs

There are two separate costs, and you should always see them separately:

  • Government charges. These vary with your authorised capital, the number of directors and Telangana stamp duty on the MOA and AOA. For a two-director company with ₹1 lakh authorised capital they are modest; they rise with capital.
  • Professional fees. What you pay the CS or CA handling the filing.

Be wary of a single bundled figure with no breakdown — it usually hides either a low capital assumption or extra charges that appear later.

Five mistakes we see every month

  1. Picking a name that clashes with a registered trademark. MCA approval is not trademark clearance. Run a trademark search before the name application, not after.
  2. Setting authorised capital too high. It raises your government fees immediately and buys you nothing. Start low; increase it when you actually need to.
  3. Using an address you cannot document. No electricity bill, no NOC, no incorporation.
  4. Forgetting INC-20A. The declaration of commencement of business is due within 180 days. Miss it and you face penalties plus a struck-off risk.
  5. Treating incorporation as the finish line. It is the start of an annual compliance calendar.

What happens after incorporation

  • Open a current account and deposit the subscribed capital
  • File INC-20A within 180 days
  • Appoint the first statutory auditor within 30 days (ADT-1)
  • Register for GST, if your turnover or supply pattern requires it
  • Complete DIR-3 KYC for every director each year
  • File AOC-4 and MGT-7A annually with the Registrar of Companies, Hyderabad

Can I register a company at my home address in Hyderabad?

How many directors do I need?
