Company Incorporation in Hyderabad: Process, Timeline and Documents for Kondapur and Gachibowli Founders
Step-by-step company incorporation in Hyderabad for Kondapur and Gachibowli founders: process, indicative timeline, documents needed and how ComplianceKart can help.
Two co-founders working out of a rented floor in Kondapur decide that their client contracts now need a proper company behind them. They ask the same three questions most founders ask: what is the process, how long will it take, and which documents must we arrange? This guide answers all three for a Private Limited Company in Hyderabad.
Short answer: a Private Limited Company is incorporated through the Ministry of Corporate Affairs (MCA) by filing the integrated SPICe+ form with the Registrar of Companies (RoC) having jurisdiction over Telangana. Founders usually plan for roughly 7 to 15 working days from a complete document set, but the actual time depends on name approval, DSC and document readiness, and any query raised by the RoC.
What the law requires
A company is formed under section 3 of the Companies Act, 2013 and registered under section 7, with the Companies (Incorporation) Rules, 2014 governing the filing. For a Private Limited Company you need:
- At least two directors and two shareholders (a director can also be a shareholder), and a maximum of 200 members.
- At least one director who is resident in India, meaning a stay of at least 182 days in the previous financial year (section 149(3)).
- A unique, permissible name and a registered office address in India.
- A Digital Signature Certificate (DSC) for the subscribers and directors signing the forms.
Foreign nationals and NRIs can be shareholders or directors, but sectoral and foreign investment rules under FEMA may apply (confirm for your sector).
Step-by-step process
- Decide the structure. Fix shareholding, authorised and paid-up capital, directors and the main business objects. If you are still comparing options, read our note on Private Limited vs LLP.
- Obtain DSCs. Class 3 DSCs are needed for the proposed directors and subscribers.
- Reserve the name (SPICe+ Part A). Up to two names with significance are proposed. The name must not be identical or too similar to an existing company or trademark.
- File SPICe+ Part B. This single form covers incorporation, DIN allotment for the initial directors, PAN, TAN, and registrations such as EPFO, ESIC and GST where opted. It is filed with the e-MOA (INC-33), e-AOA (INC-34) and the AGILE-PRO-S form.
- Pay MCA fees and stamp duty. The MCA filing fee depends on authorised capital and stamp duty depends on the State and capital. Both change from time to time, so check the current MCA fee schedule and the Telangana stamp duty position before filing (confirm).
- Receive the Certificate of Incorporation. It carries your Corporate Identity Number (CIN). The PAN and TAN follow through the integrated process.
- Open the bank account and complete post-incorporation steps (see below).
Indicative timeline
| Stage | Indicative time |
|---|---|
| Structure, document collection and DSC | 1 to 3 days |
| Name reservation (SPICe+ Part A) | 1 to 2 working days; resubmission if objected |
| SPICe+ Part B filing and RoC review | A few working days; longer if the RoC raises a query |
| Certificate of Incorporation, PAN and TAN | Usually follows approval |
| Overall | Roughly 7 to 15 working days from complete documents (indicative, not guaranteed) |
Documents needed
| For | Documents |
|---|---|
| Each director and shareholder | PAN, Aadhaar and one more identity proof (voter ID, passport or driving licence), passport-size photograph, and address proof such as a recent bank statement or utility bill |
| Foreign director or NRI | Passport and address proof, with notarisation or apostille as applicable |
| Registered office | Latest utility bill (electricity, water or gas), a no-objection certificate from the owner, and the rent agreement if the premises are rented |
| Company details | Proposed names, business objects, capital structure and shareholding |
For a Kondapur or Gachibowli address, make sure the utility bill and the owner’s NOC match the exact premises you declare. A mismatch is a common reason for queries.
What to do after incorporation
- Hold the first board meeting within 30 days of incorporation (section 173(1)).
- Appoint the first auditor within 30 days (section 139(6)) and file the appointment form ADT-1 within the prescribed time.
- File the declaration for commencement of business (INC-20A) within 180 days of incorporation (section 10A), after subscribers pay for their shares.
- Issue share certificates, maintain statutory registers and plan GST, TDS, ROC and income tax compliances. Our guide to registrations for a new company in Hyderabad covers the next steps.
Common mistakes to avoid
- Choosing a name close to an existing brand, which leads to rejection.
- Using an address without a matching bill and owner NOC.
- Skipping INC-20A, which exposes the company to strike-off proceedings.
- Leaving the shareholding unrecorded in a founders’ agreement.
