OPC Registration in Hyderabad: Eligibility, Process, Timeline and Documents for Solo Founders

How to register a One Person Company in Hyderabad: eligibility, nominee, step-by-step process, indicative timeline and documents, with help from ComplianceKart.

A freelance software consultant in Madhapur wants limited liability and a company identity but has no co-founder. A Private Limited Company needs two members, so what are the options? An One Person Company (OPC) is built for exactly this situation.

Short answer: an OPC is a company with a single shareholder, incorporated under the Companies Act, 2013 through the MCA’s SPICe+ form. It gives the owner limited liability and a separate legal identity, but only a natural person who is an Indian citizen and resident in India can incorporate one, and a nominee must be named.

What is an OPC?

Section 2(62) of the Companies Act, 2013 defines a One Person Company as a company with only one person as a member. It is a private company with a single member and a single minimum director, and it is formed under section 3(1)(c) with the conditions in rule 3 of the Companies (Incorporation) Rules, 2014.

Who can form an OPC?

  • Only a natural person who is an Indian citizen and resident in India. Resident means a stay of at least 120 days in the immediately preceding financial year (confirm the current wording of rule 3).
  • A person cannot be a member of more than one OPC, and cannot nominate a minor as nominee.
  • An OPC cannot carry on non-banking financial investment activities, including investment in securities of other bodies corporate (confirm against rule 3).
  • An OPC cannot be formed under section 8 (charitable company).

Step-by-step OPC registration process

  1. Get a DSC for the director and the member (usually the same person).
  2. Choose the name. The name must end with “(OPC) Private Limited” and must not clash with an existing company or trademark.
  3. Appoint a nominee and take their written consent in Form INC-3. The nominee steps in if the member dies or becomes incapable of contracting.
  4. File SPICe+ with e-MOA, e-AOA and AGILE-PRO-S, which also covers PAN, TAN and DIN.
  5. Pay the MCA fee and Telangana stamp duty as applicable (check the current schedule: confirm).
  6. Receive the Certificate of Incorporation with CIN.

Indicative timeline

With complete documents, planning for roughly 7 to 15 working days is realistic. Name approval and any RoC query are the main variables. This is an indicative range, not a guarantee.

Documents needed

Who Documents
Member and director PAN, Aadhaar, one more ID, photograph, address proof (recent bank statement or utility bill)
Nominee PAN, identity and address proof, photograph, and signed consent in Form INC-3
Registered office Latest utility bill, owner’s NOC, and rent agreement if rented

OPC vs Private Limited vs LLP

Point OPC Private Limited LLP
Members One Minimum two Minimum two partners
Limited liability Yes Yes Yes
Raising equity Limited by single-member structure Suited to investors Not share-based

If you expect to bring in co-founders or investors, compare it with a Private Limited Company or an LLP in our Private Limited vs LLP guide. An OPC can be converted to a Private or Public company when you outgrow it (confirm the current conversion conditions).

Ongoing compliance

  • Annual financial statements and annual return filed with the RoC.
  • Income tax return and, where applicable, tax audit.
  • Board meetings: at least one in each half of the calendar year with a gap of at least 90 days between them (section 173(5)).
  • An OPC is exempt from holding an annual general meeting (confirm).
  • INC-20A within 180 days of incorporation.

OPC registration for Hitech City and Madhapur professionals

Consultants, designers, developers and traders working around Hitech City, Madhapur and Gachibowli often work alone but contract with companies that prefer dealing with a registered entity. An OPC suits this profile when there is no co-founder and the owner is a resident Indian.

Why work with ComplianceKart

ComplianceKart is a boutique practice bringing Chartered Accountants, Company Secretaries and advocates under one roof. Think of a multi-speciality hospital: you walk in with one concern, and the physician, the radiologist and the surgeon coordinate on your case instead of you running between three clinics. OPC registration works the same way, because it touches company law, tax, banking and contracts at once, and a single coordinated team keeps those pieces consistent.

We do not guarantee approvals or timelines, since those depend on the regulator and on your documents. What we can do is prepare the filings carefully, tell you what is likely to be queried and keep you informed at each step.
